ROLE DESCRIPTION

Pharmacosmos is expanding its dynamic legal team and is looking for a talented Legal Counsel to take part in managing complex cross-border legal projects. As Legal Counsel, your main responsibilities will relate to coordinating M&A transactions and litigation processes, including the associated document production and management, and ensuring a streamlined process as well as legal compliance.

LEGAL TEAM

The legal team is led from Denmark with additional team members located in the US. The legal team consists of 7 persons, including EVP and General Counsel, Milena J. Olsen, who is leading the legal team (and reports directly to the CEO, Tobias S. Christensen), 3 senior lawyers and 1 student in Denmark, and 2 senior lawyers in the US.

The legal team handles all legal matters within the company and supports the business in all its activities (including various projects and business development) and as such advice within a broad range of legal areas including, M&A, IPR and licensing, corporate law, compliance, and general contract law. You will be a part of an international legal team working closely with other departments in Pharmacosmos both in Denmark and abroad.

AREAS OF RESPONSIBILITIES

As Legal Counsel at Pharmacosmos you will provide legal assistance to the business in Denmark and abroad in relation to the following key areas:

  • Assist in managing document production for transactions and litigation, including coordinating and managing communication with internal stakeholders and external counsel to ensure accurate collection and timely production of relevant materials.

  • Handle data management, virtual data rooms, e-discovery activities, document review, and oversee the use of a dedicated software tools.

  • Liaise with cross-functional departments to ensure compliance with data protection regulations.

  • In other ways support litigation and business development activities, e.g. in connection with acquisitions assist with conducting due diligence review of contracts and review and advise on various M&A related documents.

  • As part of the role, you will also get the opportunity to gradually become involved in other parts of work in the legal department, thereby developing your own professional profile and skill-set.

Your title: Legal Counsel

IDEAL EXPERIENCE

Education: You have a Master of Laws (cand.jur. or cand.merc.jur.) or equivalent.

Work experience: You have 2-4 years of post-graduate work experience, ideally within cross-border litigation or M&A transactions.

Legal areas: Preferably you have some previous exposure to production and discovery assistance, either as part of litigation, or in an acquisition/due diligence context. Familiarity with document management/e-discovery tools is a plus.

Language skills: You have excellent written and verbal communication skills in the English language and substantial experience with legal English in relation to drafting and negotiating.
